MR3 Systems, Inc. Receives Letter Of Intent From Marubeni America Corporation, A Unit Of Japan-Based Marubeni Corporation

SAN FRANCISCO – NOVEMBER 9, 2004 / BUSINESS WIRE

MR3 Systems, Inc. (“MR3”) (OTCBB:MRMR) announced today the receipt of a “Letter of Intent” from the Silicon Valley Branch of Marubeni America Corporation (“Marubeni”) expressing its interest in exploring a strategic partnership with MR3 in regard to its metals extraction and separation technologies. The Letter of Intent resulted from a series of meetings between representatives of the companies over the last two months and discussions with Marubeni branch offices in New York, California and Tokyo.

Marubeni Sunnyvale, a technology focused Japanese trading company, is a branch of Marubeni which, in turn, is held by Marubeni Corporation, one of Japan's largest public trading companies, with over $50 billion in trading transactions per annum. Marubeni Sunnyvale’s goal is to serve as an import-export gateway to the global market, with a specific emphasis on delivering goods, services and technologies to and from the Japanese high-tech sector.

Marubeni is seeking new products and technologies to sell throughout its large distribution network in Japan and throughout the world, and is searching for strong domestic partners that can help it establish local sales channels within the United States and Canada. The Metals, Mineral Resources & Energy Unit of Marubeni is presently engaged in the import, export, domestic and offshore trade of various non-ferrous metals, ferrous materials and minerals. While its main activities stem from trading and distribution, the group is intensely involved in a variety of related businesses and venture projects for the “high-tech” industry. MR3 is interested in engaging in such strategic relationships with parties that can further its capability of fielding its unique MR3 Technology in practical global applications with investment partners that can support upfront project financing.

Any subsequent strategic partnership agreement between Marubeni and MR3 would be subject to the successful completion of due diligence regarding MR3’s Technology, plan of operation and financial condition, as well as the synergistic relationship of MR3’s metals extraction technology to prevailing global business and project opportunities within Marubeni’s current portfolio and target markets. Marubeni and MR3 management have agreed to promptly and aggressively pursue the due diligence process and evaluate prospective global project opportunities that meet the goals and objectives of both companies.

MR3 Technology Background:

The MR3 Technology originated from research in microbiology on how microbial cells efficiently acquire their essential nutrient metals such as iron, calcium, copper, and zinc. MR3 Systems has synthesized the process of these cellular hydrometallurgical processing plants and has developed a Biomimetic (mimicking nature) approach that can be applied to metals-related applications on a commercial scale. The MR3 Technology is structured such that it may be deployed as a fully automated, modular metals reclamation system, which integrates specialized, proprietary media with a unique hydrometallurgical chemical process to selectively separate, extract, and purify individual targeted metals. The key aspect of the Technology is its unique affinity and selectivity for an individual target metal, even within multiple metal ion environments.

Corporate Profile:

MR3 Systems, Inc. is a provider of custom biomimetic solutions for metals-related problem applications and precious metal opportunities. MR3 has targeted its chelation driven technology to chemically process and separate soluble metals and elements found primarily in mining ores and concentrates, industrial effluents, hazardous wastes, complex metals sources and other aqueous solutions. Certain applications may require MR3 to pretreat the specific metal application to create a liquor base for treatment and to optimize extraction results. MR3 may provide its custom solutions utilizing its own unique media applications or in concert with third party strategic partners. MR3 approaches each problem or opportunity with a custom driven solution based on MR3’s technical evaluation of each unique situation and the characteristics of the particular metal laden application.

MR3’s objective is to provide systems that deliver the lowest total capital and operating costs of ownership, with the highest value added systems that separate and recover individual difficult/valuable metals and elements, one from another in continuous series. MR3 Systems plans to license its Technology for use in mining, industry and environmental remediation. MR3 believes its Technology has a wide range of applications in numerous vertical markets.
